These Terms of Service ("Terms") govern your access to and use of SuiteZai ("we", "our", "us"), the invoice management platform available at suitezai.com.
By creating an account or using the service, you agree to be bound by these Terms. If you do not agree, do not use the service.
SuiteZai is an online platform that allows users to create, manage, and share invoices, quotations, and proposals. The service includes AI-powered data extraction (OCR), PDF generation, client management, and cloud storage for paid subscribers.
We reserve the right to modify, suspend, or discontinue any part of the service at any time with reasonable notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation.
You must be at least 16 years old to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
You must provide accurate and complete information when creating your account. You may not use another person's account or transfer your account to someone else without our prior written consent.
We reserve the right to terminate accounts that violate these Terms, are involved in fraudulent activity, or have been inactive for more than 24 months with no active subscription.
Free Plan: Available at no cost with usage limits (2 invoices/day, 3 OCR scans/month). Data stored locally in your browser only.
Pro and Business Plans: Billed monthly or annually via Stripe. Your subscription begins immediately after successful payment. Subscription fees are charged in advance for the billing period.
Billing: By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel. All prices are in USD unless otherwise stated.
Price Changes: We may change subscription prices with 30 days' notice by email. Your continued subscription after the change date constitutes acceptance of the new price.
Failed Payments: If a payment fails, we will attempt to retry. After 3 failed attempts your account will be downgraded to the Free plan. You can update your payment method at any time via Settings → Manage Billing.
Cancellation: You may cancel your subscription at any time from Settings → Subscription & Billing → Manage Billing. Cancellation takes effect at the end of your current billing period. You will retain access to paid features until then.
Refunds: We offer a 7-day refund on new subscriptions if you are unsatisfied. To request a refund, email hello@suitezai.com within 7 days of your initial payment. Refunds are not available for renewals or after the 7-day window.
Lifetime Plans: Lifetime deals are non-refundable after 14 days from purchase.
Account Deletion: You may request deletion of your account and all associated data from Settings → Danger Zone. We will process deletions within 30 days. Deletion is permanent and cannot be undone.
New users may access a 14-day free trial of the Pro plan. No credit card is required to start the trial. At the end of the trial period, your account will automatically revert to the Free plan unless you subscribe. We reserve the right to modify or discontinue free trials at any time.

We reserve the right to suspend or terminate accounts that violate these rules without notice or refund.
You retain full ownership of all invoice data, client information, and business information you enter into SuiteZai. We do not claim any intellectual property rights over your content.
By using the service, you grant us a limited, non-exclusive license to store, process, and display your content solely for the purpose of providing the service to you.
You are responsible for ensuring that your use of the service complies with all applicable laws, including invoicing regulations in your jurisdiction. SuiteZai is a tool — we are not responsible for the accuracy, legality, or content of invoices you create.
SuiteZai includes AI-powered features (OCR scanning, AI assistant) powered by OpenAI. By using these features, you acknowledge:
Usage limits apply per plan (Free: 3 OCR scans/month; Pro: 50/month; Business: unlimited).
The SuiteZai platform, including its software, design, logos, and content (excluding your data), is owned by SuiteZai and protected by copyright, trademark, and other intellectual property laws.
You may not copy, modify, distribute, reverse-engineer, or create derivative works from any part of the platform without our prior written consent.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
We do not warrant that the service will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant the accuracy or completeness of any information provided through the service.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUITEZAI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100 USD, WHICHEVER IS GREATER.
You agree to indemnify, defend, and hold harmless SuiteZai and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of the service, your content, or your violation of these Terms.
These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the service shall be resolved in the courts located in San Francisco County, California.
We may revise these Terms from time to time. For material changes, we will provide at least 30 days' notice by email or by posting a prominent notice in the app. Your continued use of the service after the effective date of updated Terms constitutes acceptance of those Terms.
